Organisation and Management Model – Model 231
N&C S.p.A. has adopted an Organisation and Management Model in accordance with the provisions laid down in relation to such models in Legislative Decree No 231 of 8 June 2001, approved by resolution of the shareholders’ meeting held on 7 December 2020.
In implementation of the provisions of Article 6(1)(b) of Legislative Decree 231/01 – which establishes that a legal person may be granted exemption from administrative liability if its corporate structure includes a body with autonomous powers of initiative and control that supervises the application and observance of the model and ensures it is kept up-to-date – a collective Supervisory Body has been established at N&C S.p.A.
Employees, managers and directors are required to report to the Supervisory Body any relevant information relating to the company’s activities, insofar as such information could expose the company to the risk of offences and illegal acts or involve violations of the Model, and any information relating to non-compliance with the rules contained in the Model or the commission of offences and illegal acts.

Reports may be accepted even if they are sent anonymously. In any case, the Supervisory Body guarantees the absolute confidentiality of whistleblowers (even if reports are not anonymous), without prejudice to legal obligations and the protection of the rights of N&C srl, in accordance with current legislation.
